Terms of Service

1. Acceptance of Terms

By accessing or using the HealthLedger software and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

HealthLedger provides a software platform for medical and surgical clinics to manage patient records, process payments, and communicate with patients and administrators. The Service includes web and mobile applications for different user roles within a clinic environment.

3. User Accounts

To use the Service, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to immediately notify HealthLedger of any unauthorized use of your account or any other breach of security.

4. User Responsibilities

As a user of the Service, you agree to:

• Comply with all applicable laws and regulations, including healthcare privacy laws (e.g., POPIA, GDPR, HIPAA where applicable)
• Use the Service only for lawful purposes related to surgical clinic operations
• Maintain the security and confidentiality of patient data
• Obtain all necessary patient consents for data processing as required by law
• Not attempt to reverse engineer, decompile, or disassemble the Service
• Not use the Service to store or transmit malicious code

5. Notification Policy

HealthLedger sends emails and WhatsApp messages to patients and clinic admins (owners/managers) only. Staff and employees only have access to the web entry/search interface and receive in-app alerts - they never receive external notifications via email or WhatsApp from our system.

6. Payment Terms

For paid subscription plans:

• Fees are billed in advance on a monthly or annual basis
• Payment is non-refundable except as expressly stated in these Terms
• We may change our fees by giving you at least 30 days' notice
• Late payments may result in suspension or termination of Service

7. Intellectual Property

The Service and its original content, features, and functionality are owned by HealthLedger and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You agree not to modify, copy, distribute, or create derivative works from the Service.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

9. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. HealthLedger does not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

In no event shall HealthLedger, its directors, or affiliates be liable for any indirect, incidental, or consequential damages resulting from your use of or inability to use the Service, including but not limited to clinical data errors or financial losses.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of South Africa and Zimbabwe, without regard to conflict of law provisions.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
